Terms of Service

01 Agreement to Terms

By engaging our services, you agree to these Terms of Service.

02 Payments and Billing

A 50% non-refundable deposit is required to begin work. The remaining balance is due upon project completion and before final delivery of files and site access. Late payments may incur a 1.5% monthly service charge.

03 Project Scope & Revisions

All projects include up to one (1) round of major revisions and one (1) round of minor revisions.

Any additional revisions, feedback rounds, or work outside the original approved scope will be billed at our standard hourly rate of $225 per hour.

04 Client Responsibilities

You are responsible for providing complete, accurate, and timely content, images, logos, feedback, and approvals within 5 business days of our request. Delays caused by the client will extend project timelines and may result in additional fees.

05 Change Orders

Any modifications, additions, or features requested after scope approval require a written Change Order with associated costs and timeline adjustments. We will not begin work on changes until the Change Order is mutually approved.

06 Intellectual Property & Ownership

Upon receipt of final payment in full, the client receives full ownership of the custom website, design files, and source code developed specifically for them (excluding third-party tools, stock assets, fonts, plugins, and Caffeine AI platform features).

07 Hosting & Management (Optional)

Our Hosting, Maintenance, Security, and Performance Management service is optional and requires a minimum 6-month commitment. After the initial term, the service continues month-to-month and may be canceled with 30 days' written notice.

08 Indemnification

You agree to indemnify, defend, and hold harmless Goyim Design Strategies LLC, its owners, employees, and agents from any claims, damages, losses, or liabilities arising from content, images, logos, or materials you provide.

09 Warranties & Disclaimers

We warrant that the delivered work will materially conform to the approved scope for 30 days after final delivery. We make no warranties regarding third-party services, plugins, themes, stock assets, or Caffeine AI features. All other warranties, express or implied, are disclaimed to the maximum extent permitted by law.

10 Force Majeure

Neither party shall be liable for any delay or failure to perform due to events beyond their reasonable control, including acts of God, pandemics, government orders, natural disasters, or major utility failures.

11 Limitation of Liability

In no event shall our total liability exceed the total fees paid by you for the project.

12 Termination

Either party may terminate the agreement with written notice. Upon termination, you will be responsible for payment for all work completed up to the termination date, plus a 50% termination fee on the remaining project balance.

13 Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California.
